These Terms of Service (the “Terms”) set out the conditions for using ShiftMaster (the “Service”), provided by Shift Schedule Information Technology (the “Company”, “we”, “us”). By using the Service, you are deemed to have read and agreed to these Terms in full.

1. Applicability

1.1 These Terms apply to all relationships between you and us arising from the use of the Service.
1.2 Any individual terms set out by us on the Service, in a quotation, or in a separately executed agreement form part of these Terms. If individual terms conflict with these Terms, the individual terms prevail.

2. Definitions

In these Terms, the following terms have the meanings set out below.

  • “Service” means the AI-powered Workforce Management (WFM) platform ShiftMaster and related services provided by us.
  • “User” means any individual or entity using the Service.
  • “Account” means the credentials and associated permissions issued by us for use of the Service.

3. Account Registration

3.1 An applicant wishing to use the Service (the “Applicant”) shall apply in the manner prescribed by us, and registration is completed when we approve the application.
3.2 We may decline an application if the Applicant falls under any of the following:
(a) the Applicant has submitted false information;
(b) the Applicant has previously breached these Terms;
(c) we otherwise determine that granting access is inappropriate.

4. Account Management

4.1 Users shall properly manage their Account credentials at their own responsibility.
4.2 Users shall not transfer, lend, or share their Account with any third party under any circumstances.
4.3 All actions performed using an Account are deemed to be the actions of the User holding that Account.

5. Fees and Payment

5.1 The fees, service term, payment method, and other conditions for the Service are as set out in the quotation, agreement, or separate arrangement provided by us.
5.2 Users shall pay the fees in the manner separately prescribed by us.
5.3 Unless otherwise agreed, fees already paid are non-refundable.

6. Prohibited Conduct

When using the Service, Users shall not engage in any of the following:

  • acts that violate laws, regulations, or public order and morals;
  • acts that infringe our or any third party’s copyrights, trademarks, or other intellectual property rights;
  • acts that infringe our or any third party’s property, privacy, or reputation;
  • acts that interfere with the operation of the Service, or attempts at unauthorized access;
  • analyzing, modifying, copying, or redistributing the Service;
  • providing benefits, directly or indirectly, to organized crime groups or other unlawful organizations;
  • any other acts we determine to be inappropriate.

7. Suspension or Interruption of the Service

7.1 We may suspend or interrupt all or part of the Service without prior notice to Users if any of the following applies:
(a) maintenance, inspection, or updating of equipment related to the Service;
(b) the Service becomes difficult to provide due to force majeure such as earthquake, lightning, fire, power outage, or natural disaster;
(c) we otherwise determine that provision of the Service is difficult.
7.2 We are not liable for any damage to Users or third parties caused by suspension or interruption of the Service under the preceding paragraph.

8. Intellectual Property

All intellectual property rights in the Service and in programs, data, trademarks, logos, and other materials related to the Service belong to us or to their rightful owners. These Terms do not transfer any such intellectual property rights to Users.

9. Handling of Personal Information

We handle personal information obtained through the use of the Service in accordance with our separately established Privacy Policy.

10. Changes to and Termination of the Service

We may change the content of the Service, or discontinue the Service, by notifying Users. We are not liable for any damage to Users resulting from such changes or discontinuation.

11. Disclaimer

11.1 We make no warranty, express or implied, that the Service will fit a User’s particular purpose or will have the functions, value, accuracy, or usefulness the User expects.
11.2 Except in cases of our willful misconduct or gross negligence, we are not liable for any damage to Users arising from the use of the Service.
11.3 Users use the Service at their own responsibility, and shall resolve at their own responsibility and expense any dispute arising with a third party in connection with the Service.

12. Restriction of Use and Account Deletion

If a User breaches any provision of these Terms, we may restrict the User’s use of the Service or delete the Account without prior notice.

13. Amendment of These Terms

We may amend these Terms without notice to Users when we deem it necessary. The amended Terms take effect when posted on this page.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the People’s Republic of China. Any dispute arising between us and a User in connection with the Service shall be subject to the exclusive jurisdiction of the competent court at our location as the court of first instance.
